In the event of any conflict between these Terms and the Service Agreement, the terms of the Service Agreement shall prevail.

2. Client Obligations and Account Access

A. Authorization and Credentials

For social media management Services, the client (you) agrees to provide ConnectSpherePR with accurate and necessary access credentials (usernames, passwords, tokens, or admin access) for the specified social media platforms.

• You confirm that you have the full legal authority to grant us access and that doing so does not violate any third-party terms or agreements.
• You remain solely responsible for maintaining the security and confidentiality of your credentials. You must notify us immediately of any unauthorized use or changes.

B. Content Responsibility

The client is solely responsible for all content, data, and information (including text, graphics, images, and links) provided to ConnectSpherePR for use on their social media channels or in PR materials.

• You warrant that the content provided does not violate any law or third-party rights, including copyright, trademark, privacy, or publicity rights.
• ConnectSpherePR reserves the right to refuse to post any content we deem unlawful, offensive, or in violation of these Terms or a platform’s own rules.

3. Fees, Payment, and Termination

A. Payment Terms

Fees for Services are outlined in the separate Service Agreement. You agree to pay all charges in accordance with the billing terms in effect at the time the fee becomes payable.

• Late payments may incur [e.g., a late fee of 5% per month or the maximum allowable by law]

B. Term and Termination

The term of the Services will be specified in the Service Agreement.

• Termination by Client: You may terminate the Services as specified in the Service Agreement, typically requiring [e.g., 30 days] written notice. Upon termination, you are responsible for paying all outstanding fees for Services rendered up to the effective termination date.
• Termination by ConnectSpherePR: We may terminate the Services immediately if you breach these Terms or the Service Agreement, including failure to pay fees when due or misuse of the Services.

4. Intellectual Property Rights

A. Client Content

You retain all ownership rights to the intellectual property in the content you provide to us (e.g., logos, existing posts, product images). You grant ConnectSpherePR a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display this content solely for the purpose of providing the agreed-upon Services.

B. ConnectSpherePR Deliverables

Upon full payment for the Services, any original content (e.g., drafted press releases, campaign strategies, or new social media posts) created by ConnectSpherePR specifically for you under the Service Agreement will be transferred to your ownership.

C. Website Content

All content on the Website, including text, graphics, logos, and code, is the property of ConnectSpherePR and is protected by intellectual property laws. You may not use any Website content without our prior written permission.

5. Disclaimers and Limitation of Liability

A. Disclaimer

The Website and Services are provided on an "as-is" and "as-available" basis. ConnectSpherePR makes no warranties regarding the results that may be obtained from the use of the Services, including but not limited to specific financial, sales, or publicity outcomes. PR and social media results can vary and are not guaranteed.

B. Limitation Of Liability

To the fullest extent permitted by applicable law, ConnectSpherePR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or the use of the Services.

• In no event shall our total aggregate liability to you for all damages exceed the total amount of fees paid by you to ConnectSpherePR for the specific Services giving rise to the claim in the six (6) months preceding the claim.

C. Social Media Platform Changes

ConnectSpherePR is not responsible for any downtime, service changes, security issues, or policy updates implemented by third-party social media platforms (e.g., Facebook, Instagram, LinkedIn). We will endeavor to adapt our Services to such changes but cannot guarantee uninterrupted service.

6. Indemnification

You agree to indemnify, defend, and hold harmless ConnectSpherePR, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your breach of these Terms or the Service Agreement.
• Any claim that the content you provided to us infringes on the rights of any third party.
• Any claim arising from your use of the Services or the Website.

7. General Provisions
